Implementation of corporate governance standards in municipal enterprises

 

The project is being implemented on the initiative of EUACI – the European Union Anti-Corruption Initiative in Ukraine, which aims to strengthen transparency, accountability, and integrity in the work of government bodies and state and municipal enterprises. EU-LEAP is responsible for the legal and analytical support of the project: it prepares amendments to legislation, conducts analytical research, develops working documents, recommendations, and supporting materials for the implementation of the reform.

Relevance:

Municipal enterprises are a tool for implementing key powers of communities in the areas of housing and communal services, transport, public amenities, energy, and other services. At the same time, a significant portion of communal enterprises operate without proper control, transparency, and strategic management. The lack of independent oversight, public accountability, internal control procedures, and competitive selection of managers leads to political dependence, abuse, inefficient use of funds, and loss of public trust. Reform attempts are usually not systematic and face resistance. Most communities lack approaches to separating the roles of owner, supervisor, and executor.

Project goal:

Introduce a systematic model of corporate governance for municipal enterprises that will ensure effective, transparent, and accountable management, reduce political influence, and improve the quality of services provided to the population. The reform should transform municipal enterprises into modern public enterprises with clear rules for decision-making, management accountability, and community trust.

Project objectives:

  • Define criteria for applying modern corporate governance to municipal enterprises.

  • Introduce mechanisms for independent oversight (supervisory boards), internal control, and external audit.

  • Improve procedures for competitive selection of managers and ensure their accountability.

  • Develop standards for transparency and regular reporting by public utilities to the community and local government bodies.

  • Strengthen the capacity of local government bodies to effectively perform their ownership functions.

Expected results:

  • Formation of a sustainable model of municipal enterprise management with clear roles, powers, and responsibilities.

  • Increasing transparency, publicity, and accountability in the municipal sector.

  • Reducing political interference, conflicts of interest, and corruption risks.

  • Increasing the efficiency of enterprises, improving the quality of services, and rational use of resources.

  • Increasing residents' trust in the management of municipal property.
